1. Agreement Overview

This Service Provider Agreement ("Agreement") is between LWAL SOFTWARE PROGRAMMING AND WEBS DESIGN LLC ("Company," "we," "us") and you ("Service Provider," "you") regarding your use of the LWAL Recovery SP mobile application ("App") to provide towing and recovery services.

  • This Agreement does not create an employment, partnership, or joint venture relationship

2.2 Platform Service

  • We provide a technology platform connecting you with customers
  • We do not provide towing services directly
  • We facilitate the connection and payment processing only

3. Service Provider Eligibility and Requirements

3.1 Eligibility Criteria

To use the App, you must:

  • Be at least 18 years of age
  • Have legal authorization to work in the UAE
  • Possess a valid UAE driver's license
  • Own or have access to appropriate towing/recovery equipment
  • Provide accurate and complete registration information

3.2 Required Documentation

You must provide and maintain current copies of:

  • Valid UAE driver's license
  • Emirates ID (front and back)
  • Vehicle registration/license for towing equipment
  • Banking information (first name, last name, IBAN)
  • Profile photo

3.3 Verification Process

  • All provided documents will be reviewed by our team
  • We reserve the right to accept or reject applications
  • Additional verification may be requested at any time
  • Approval does not guarantee service requests

4. Service Provision

4.1 Service Availability

  • You control your availability and service hours
  • Services are requested 24/7; you choose when to be available
  • You may accept or decline service requests at your discretion
  • You determine your service areas within the UAE

4.2 Service Standards

When accepting requests, you agree to:

  • Respond promptly to customer communications
  • Arrive at the specified location within reasonable time
  • Provide professional and courteous service
  • Complete services safely and competently
  • Follow all applicable UAE traffic and safety laws

4.3 Equipment and Licensing

  • You are responsible for maintaining proper equipment
  • You must comply with all UAE licensing requirements for towing services
  • You assume all liability for your equipment and operations
  • You must maintain equipment in safe working condition

5. Pricing and Payment

5.1 Pricing Structure

  • Pricing is distance-based and displayed to customers before booking
  • You have access to pricing information through the App
  • Final pricing may be adjusted for additional services or circumstances

5.2 Payment Processing

  • Customer payments are processed through Stripe
  • Payments are held until service completion
  • You receive payment after successful service delivery
  • Payment is transferred to your provided IBAN account

5.3 Payment Timeline

  • Payments are processed within 2-5 business days after service completion
  • You are responsible for any banking fees related to receiving payments
  • We may withhold payments for disputed or incomplete services

6. Cancellation Policy

6.1 Customer Cancellations

  • Customers may cancel before your arrival

6.2 Service Provider Cancellations

  • You may cancel for safety, mechanical, or operational reasons
  • 10 AED cancellation fee applies when you cancel
  • Excessive cancellations may result in account suspension
  • Provide reasonable notice when possible

7. Location Tracking

7.1 Location Requirements

  • Real-time location tracking is enabled only during active orders
  • Location sharing allows customers to track service progress
  • Location tracking automatically stops after order completion
  • You consent to location sharing during active service provision

7.2 Privacy Protection

  • Location data is used solely for order fulfillment
  • Location information is not stored after order completion
  • You may disable location when not accepting orders

8. Service Provider Responsibilities

8.1 Legal Compliance

You are responsible for:

  • Obtaining all necessary licenses and permits
  • Complying with UAE traffic and commercial vehicle regulations
  • Maintaining valid driver's license and vehicle registrations
  • Following all applicable laws during service provision

8.2 Insurance and Liability

  • You maintain your own commercial insurance coverage
  • You assume all liability for your services and operations
  • You indemnify the Company against claims arising from your services
  • We do not provide insurance coverage for service providers

8.3 Professional Conduct

You agree to:

  • Treat customers with respect and professionalism
  • Maintain appropriate appearance and behavior
  • Protect customer privacy and information
  • Avoid discrimination based on any protected characteristics

9. Platform Rules and Restrictions

9.1 Acceptable Use

You may not:

  • Use the App for purposes other than legitimate towing services
  • Provide false or misleading information
  • Attempt to contact customers outside the platform initially
  • Circumvent the payment system
  • Engage in fraudulent activities

9.2 Account Management

  • Maintain accurate account information
  • Keep login credentials secure
  • Report suspicious activity immediately
  • Use the App only for your own business

10. Company's Role and Limitations

10.1 Platform Provider

  • We provide technology platform services only
  • We do not control your service methods or schedules
  • We are not responsible for service quality or outcomes
  • We facilitate connections and payment processing

10.2 Limited Liability

  • We are not liable for service-related disputes
  • We do not guarantee service requests or income
  • Our liability is limited to platform-related issues only
  • You assume all risks associated with service provision

11. Dispute Resolution

11.1 Customer Disputes

  • Disputes with customers are your responsibility
  • Resolve service disputes directly with customers
  • We may provide contact information to facilitate resolution
  • Persistent complaints may affect your platform access

11.2 Platform Disputes

  • Platform-related disputes should be reported to our support team
  • We will investigate and resolve platform issues
  • Unresolved disputes may be subject to UAE arbitration

12. Account Termination

12.1 Termination by Company

We may terminate your account for:

  • Violation of this Agreement
  • Fraudulent or illegal activity
  • Poor service quality or customer complaints
  • Safety concerns
  • At our discretion with reasonable notice

12.2 Termination by Service Provider

  • You may terminate this Agreement at any time
  • Provide reasonable notice when possible
  • Complete any accepted service requests before termination
  • Outstanding payments will be processed according to normal schedule

13. Confidentiality and Data Protection

  • Protect customer information obtained through the platform
  • Use customer data only for completing service requests
  • Do not share customer information with third parties
  • Comply with our Privacy Policy regarding data handling

14. Intellectual Property

  • The App and its content are owned by the Company
  • You receive a limited license to use the App for service provision
  • You may not copy, modify, or distribute App content
  • Respect all intellectual property rights

15. Updates and Modifications

15.1 App Updates

  • We may update the App to improve functionality
  • Continued use constitutes acceptance of updates
  • Some updates may require acceptance of modified terms

15.2 Agreement Modifications

  • We may modify this Agreement with reasonable notice
  • Material changes will be communicated through the App
  • Continued use after changes constitutes acceptance

16. Tax Responsibilities

  • You are responsible for all tax obligations related to your services
  • We do not withhold taxes from payments
  • Maintain proper records for tax purposes
  • Consult with tax professionals as needed

17. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and the Company regarding your use of the LWAL Recovery SP App.

By using the LWAL Recovery SP App, you acknowledge that you have read, understood, and agree to be bound by this Service Provider Agreement.
